Represented Purchaser in the acquisition and financing of a 7.5 MM, 33,050 square foot retail shopping center in Charleston County, South Carolina. We drafted and negotiated the purchase agreement; reviewed title, survey, and zoning during the due diligence period; negotiated loan documents; assisted the client with its review of leases and questions related thereto; conducted the closing; and issued title insurance coverage for the owner and the lender.

Regional Convenience Store Chain Acquires Site in Wayne County, GA

Represented regional convenience store chain in the acquisition of its first convenience store site in Wayne County, Georgia. This transaction involved an assemblage and combination of 4 separate parcels, as well as close coordination with surveyors, engineers, the Georgia Department of Transportation, and Wayne County to secure all necessary permits and easements to facilitate the development.

17 Shopping Centers

Represented Borrower in connection with an internal roll-up merger of several investment property funds, which representation included negotiating loan documents, serving as the lead title agent and settlement agent closing the cross collateralized pool of loans totaling 47 MM on 17 shopping centers across 6 southeastern states.

Represented Regional Convenience Store Chain

Represented regional convenience store chain with the acquisition of a location in Beaufort County, South Carolina, which representation included assisting the client with the enrollment of the location in the South Carolina Brownfield program.

200 Unit Multifamily Apartment Complex

Represented Purchaser in the acquisition and financing of a 20 MM, 200 unit multifamily apartment complex in Richmond County, Georgia. We negotiated the purchase agreement with the institutional seller and the loan documents through Fannie Mae.

Lease for Outparcel at a Shopping Center

Represented Landlord in the negotiation and drafting of a long-term ground lease for a fast food user to be located on an outparcel at the client’s shopping center. The ground lease negotiations included provisions for permitting, construction, environmental, leasehold financing, and drafting a declaration of covenants for the overall shopping center site.

Long-term Retail Lease

Represented Landlord in the negotiation and drafting of a long-term retail lease for an inline tenant occupying approximately 9,500 SF and 33% of an existing shopping center. In addition to the substantial construction and build-out requirements, we also assisted Landlord in negotiating for the relocation of existing tenants at the shopping center to accommodate the new user.
